Rate Confirmation

A rate confirmation, also called a load confirmation or rate agreement, is a written document that specifies the agreed-upon terms for a specific shipment between a freight broker and carrier or between a shipper and carrier. The rate confirmation locks in the pricing, service requirements, and operational details for an individual load, serving as the binding contract for that particular transportation event.

A complete rate confirmation for a refrigerated shipment includes the pickup and delivery locations with addresses and contact information, the pickup and delivery dates and times, the commodity description and weight, the required temperature setting for the reefer unit, the rate and payment terms, any accessorial charges that are agreed upon in advance, special instructions such as continuous temperature monitoring or team driver requirements, and the broker or shipper reference numbers.

Legal Significance

The rate confirmation is a legally binding contract that governs the specific terms of the shipment. In the event of a dispute over charges, service failures, or cargo claims, the rate confirmation is the primary document used to determine what was agreed upon between the parties. For this reason, carriers should review rate confirmations carefully before accepting them, and brokers should ensure that all critical details, especially temperature requirements, are clearly documented.

Common issues that arise from poorly written rate confirmations include ambiguous temperature instructions that lead to incorrect reefer settings, missing accessorial provisions that result in billing disputes, unclear payment terms that delay carrier compensation, and incomplete pickup or delivery instructions that cause service failures. A well-written rate confirmation prevents these issues by documenting every relevant detail of the shipment agreement.
